Director, Canadian and International Taxation

Join us Job Summary The Director, Canadian and International Taxation is responsible for ensuing that compliance, audits, planning, reporting, and forecasting matters related to Canadian Income Taxes and Property Taxes are autonomously and diligently handled as well asall aspects of international tax.

Main Responsibilities Tax Planning, Special Projects and Leadership – 50%
· Devise, implement, and maintain secure leading-edge tax minimization opportunities and proactive strategies or filing positions that help reduce Effective Tax Rate (ETR) and cash tax rates
· Oversee and devise leading edge transfer pricing practices for cross border transactions
· Implement initiatives to achieve property tax reductions and effectively manage annual property tax compliance
· Lead, or assist in leading, tax support on corporate projects, including Mergers and Acquisitions (M&A), innovation, structuring large capex, and contract negotiation
· Oversee and file Canadian Research and Development (R&D) claims Risk Management – 25%
· Handle increases in property tax assessments
· Handle significant audits affecting multiple years, including large income tax disputes
· Develop strategies to settle amounts in objection with tax authorities
· Lead tax consultants and challenge while minimizing fees ensuring best practices are followed through RFPs (Requests for Proposals)
· Maintain effective working relationships with tax officials
· Maintain up-to-date knowledge of tax legislation and ensure CN can adapt to changes in tax legislation
· Handle Canadian tax risk and maintain adequate tax reserves for tax exposures Compliance – 25%
· Ensure fully Sarbanes-Oxley (SOX) compliant on all International and Canadian income and property tax matters
· Obtain clean sign-off from external auditors (KPMG) regarding international tax matters
· Review quarterly and annual financial statements for proper tax disclosure requirements
· Oversee filing of Canadian tax returns for CN and Canadian subsidiaries
· Oversee accurate and effective timing of monthly income tax payments
· Ensure tax provision reviews, done bi-annually, result in minimal adjustments i n Canada and support Financial Reporting team as required
· Ensure timely income and property tax forecasts are prepared Working Conditions The role has standard working conditions in an office environment with a regular work week from Monday to Friday.

The role requires minimal travel (5%) within Canada.

Due to the nature of the role, the incumbent must be able to meet tight deadlines, handle pressure, and stress.

Requirements Experience Canadian Income, Property, and International Tax Legislation
· Minimum of 15 years of tax experience with Canadian income, property, and international tax
· Minimum of 10 years of experience in the transportation industry
· Experience in filing Canadian Tax returns in corporate setting
· Experience in dealing with audits, appeals, and litigation for income tax
· Experience in international tax structuring and transfer pricing on cross border activity
· Experience in managing the property tax function
· Experience dealing with tax authorities and other government stakeholders Education/Certification/Designation
· Chartered Professional Accountant – Canada (CPA-CA) Designation, or equivalent
· In-depth tax course CPA-CA Certification or equivalent (Graduate Diploma or Master’s Degree in Taxation) Competencies

taxation and tax accounting matters
· Knowledge of tax software including Taxprep and Tax Research tools
· Ability to perform research and work through the tax act and other legislation
· Knowledge of the railway industry, including laws and regulations regarding the transportation industry Organizational Impact Decision Making & Impacts The Director, Canadian and International Taxation has the authority to make autonomous decisions regarding the Canadian filing of tax returns, planning and forecasting.

Moreover, the role works in conjunction with the United States (U.S.) team to establish effective cross border tax planning strategies.

The role works with the Assistant Vice President, Taxation (AVP) to ensure effective tax rates are accurate and complete and assists in developing tax strategies to minimize taxes where possible.

Level of Interaction/Influence The Director, Canadian and International Taxation interacts with individuals internal and external to CN.

Within the organization, the incumbent liaises with the I&T, Operations, Engineering, Legal, Financial Planning and Reporting, and Environmental departments.

Outside of CN, the role communicates with government tax authorities both at the Federal and Provincial levels, various associations to advocate for taxes (e.g., the Railway Association of Canada), the Department of Finance, and consultants including accounting firms and law firms as well as with the external auditors (KPMG).

Employees Supervised/Organizational Structure The Director, Canadian and International Taxation reports to the Assistant Vice President, Taxation.

The role requires the direct supervision of 2 non-unionized employees and indirect supervision of 2 non-unionized employees.
